Stephen D. Chubb
Director, Chairman, and Chief Executive Officer
Mr. Chubb, a founder of Matritech, has been Chairman since October 1993 and a director and Matritech's Chief Executive Officer since the Company's inception in 1987. Mr. Chubb was the Company's President until October 1993 and was also Treasurer of the Company until March 1992. From 1984 to 1986, Mr. Chubb served as President and Chief Executive Officer of T Cell Sciences, Inc., a publicly-traded biotechnology company. Prior to 1984, Mr. Chubb was President and Chief Executive Officer of Cytogen Company, also a publicly-traded biotechnology company. He currently serves as a director of Charles River Laboratories, a publicly-traded medical products company and Trustee of Mt. Auburn Hospital, Cambridge, MA.

David L. Corbet
Director, President and Chief Operating Officer
Mr. Corbet has been Matritech's President, Chief Operating Officer and a director since October 1993, and joined the Company in April 1993 as Executive Vice President. Prior to joining Matritech and since 1991, Mr. Corbet had served as President and Chief Operating Officer of T Cell Diagnostics, Inc., a subsidiary of T Cell Sciences, Inc., which was a publicly-traded biotechnology company, and had served in various other executive and managerial offices there since 1985.

Walter O. Fredericks
Mr. Fredericks has served as a director of Matritech since July 2003. Mr. Fredericks is currently a member of, and is responsible for the financial affairs of, Adirondack Boat, LLC, a distributor of electronic boats. From 1999 to 2001, Mr. Fredericks served as president, chief executive officer and director of Lifecodes Corporation, a forensics DNA testing company. Mr. Fredericks was the founder of, and from 1993 to 2001, served as chief executive officer and director of Electronic Instruments International, a company focused on creating products to enhance long distance electric power distribution. From 1989 to 1997, he also served as a director of DIANON Systems, Inc., a publicly traded oncology marketing and database company.

Judith Kurland
Ms. Kurland has served as a director of Matritech since February 2001. Ms. Kurland is currently a self-employed consultant. From March 2001 until August 2002, Ms. Kurland was the President and Chief Executive Officer of Hunt Alternatives, a foundation. Ms. Kurland was the New England Regional Director of the United States Department of Health and Human Services from May 1997 to January 2001. Ms. Kurland served from December 1998 to December 2000 as the Acting Editor of Public Health Reports, the journal of the U.S. Public Health Service. She is a faculty member at Tufts University Medical School, Boston University Medical School, Simmons College, and is presently on leave from teaching at the Harvard School of Public Health.

Bruce Lehman
Bruce Lehman was elected to Matritech’s Board of Directors at the company’s annual meeting, held on June 9, 2006. Mr. Lehman, co-founder and CEO of LehmanMillet, Incorporated, the leading integrated marketing services firm providing support to the medical device and diagnostics industry. In 2002 LehmanMillet joined HealthStar Communications, a healthcare marketing services network. Mr. Lehman has been a member of the Biomedical Marketing Association since 1982, a member of its Board of Directors since 1996, President in 2004-2005, and currently serves as Immediate Past President. He was invited to join the Harvard-MIT Division of Health Sciences and Technology (HST) Advisory Council in 2001 and has served on the HST Advisory Board since 2003. In addition, he is a charter member of MassMEDIC, an organization dedicated to the Medical Device Industry in Massachusetts, and served on its founding Board of Directors from 1997 to 2000. Mr. Lehman is a past member of the Board of Directors of the Medical Marketing Association (MMA) and the American Association of Advertising Agencies (AAAA). He is a current member of both organizations

David B. Musket
Mr. Musket was elected as a director of Matritech on January 22, 2007. Since 1991, Mr. Musket has been President of Musket Research Associates, Inc., an investment banking firm focused on emerging healthcare companies which served as placement agent for the Company in financing transactions completed in 2005 and 2006. In 1996 Mr. Musket co-founded ProMed Management, an investment firm which controls a family of healthcare funds which have acquired common stock, preferred stock, convertible notes and warrants issued by the Company including those issued in the Financing announced on January 24, 2007. From 1984 to 1989, Mr. Musket served as a pharmaceutical analyst at Goldman Sachs & Co. Currently, Mr. Musket serves as a member of the Harvard-MIT Health Sciences and Technology Advisory Council and serves as a member of the board of directors of Conor MedSystems, Inc. (NASDAQ:CONR) and TherOx, Inc.

Jonathan M. Niloff, M.D.
Dr. Niloff has served as a director of Matritech since February 2005. Since 2000, Dr. Niloff has served as president of Provider Services Network, Inc., a physician-driven organization providing innovative web-based tools and other infrastructure services to improve quality and reduce the cost of health care. Dr. Niloff is also a practicing physician, specializing in gynecologic oncology, and a clinical researcher in that field. Since 1990, Dr. Niloff has also served as an Associate Professor of Obstetrics, Gynecology and Reproductive Biology at Harvard Medical School. Dr. Niloff has published over 40 articles and several book chapters on gynecologic oncology and surgery. His work has appeared in the New England Journal of Medicine, among other leading journals. Dr. Niloff serves on the board of the Care Group Medical Service Organization, LLC; Care Group Provider Service Network, Inc; Harvard Pilgrim Care Group Partnership, LLC; and Medical Care of Boston Management Corporation. He earned his medical degree at McGill University and completed his residency and fellowship at Brigham and Women's Hospital in Boston.

Robert J. Rosenthal, Ph.D.
Dr. Rosenthal was elected as a director of Matritech on January 22, 2007. Dr. Rosenthal has been president, chief executive officer and a member of the board of directors of Magellan Biosciences, Inc., a private biotechnology company engaged in the development and marketing of rapid point-of-care analyzers and automated systems for hospital-based labs and near-patient testing, since 2005. From 2003 to 2006, he served as president, chief executive officer and a member of the board of directors of TekCel, Inc., a private manufacturer of automated sample-management systems for life science research. Dr. Rosenthal was president and CEO of Boston Life Sciences, an R&D development-stage biopharmaceutical company from 2002 to 2003. From 2001 to 2002, Dr. Rosenthal was president and chief executive officer of Magellan Discovery Technologies, LLC, a private company focused on development of drug discovery tools. In addition to the Magellan and subsidiary boards, Dr. Rosenthal serves as a director for several other companies, including the board of Cambrius, a private sensor-technology company focused on process solutions and the University of Maryland Department of Chemistry and Biochemistry Board of Advisors. He is also a member of the University of Maryland, College of Chemical and Life Sciences Board of Visitors.

Richard A. Sandberg
Director, Vice President, Finance and Chief Financial Officer
Mr. Sandberg served as a director of the Company from April 1999 to June 2002 and rejoined the Board in September of this year. From 1997 to 1998, Mr. Sandberg served as Chief Financial Officer of Lifecodes Corporation, a DNA testing technology and services company and from 1998 to 2001 served as Chairman of the Board of Lifecodes. From 1983 to 1997, Mr. Sandberg served, at various times, as Chairman, Chief Executive Officer and Chief Financial Officer at DIANON Systems, Inc., a publicly traded oncology marketing and database company.

T. Stephen Thompson
Mr. Thompson has served as a director of Matritech since May 1994. Mr. Thompson is President, Chief Executive Officer and a director of Immtech International, Inc., a publicly-traded biopharmaceutical company, which positions he has held since 1992. From 1985 to 1992, Mr. Thompson held a number of management positions, most recently as President and Chief Executive Officer, at Amersham Corporation, a subsidiary of Amersham International plc., a publicly-trade life science and health care company.

C. William Zadel
Mr. Zadel has served as a director of Matritech since December 1995. Presently, Mr. Zadel is the Chief Executive Officer of Mykrolis Corporation, formerly the microelectronics division of Millipore Corporation, a publicly-traded semiconductor equipment company. From April 1996 until August 2001, Mr. Zadel was the Chairman, President, Chief Executive Officer and a director of the Millipore Corporation. From 1986 through 1995, Mr. Zadel served as President and Chief Executive Officer of Ciba Corning Diagnostic Corporation, a biotechnology company. Mr. Zadel currently serves, and has served since 1989, as a director of Kulicke & Soffa Industries, Inc., a publicly traded semiconductor assembly equipment company. Mr Zadel also currently serves as a director of Citizens Bank of Massachusetts.
